- This web page has been created to summarize the most important information and offer answers to frequently asked questions related to the transfer of Lonza Specialty Ingredients (LSI) operations and business relationships into new, LSI-dedicated legal entities in Switzerland, as well as to inform our US, Canada and Puerto Rico shipped to customers previously served through LSI AG and LSI Sales AG of their new counterpart in the US, LSI LLC, - these changes are effective 1 June 2020.

Why we are separating Lonza Specialty Ingredients and Lonza Pharma, Biotech & Nutrition
- With the decision to run Lonza Specialty Ingredients (LSI) as a separate entity, the LSI will enable the business to operate autonomously in order to create better growth opportunities for the future. As a standalone entity, LSI will be able to react to and focus on its proper market dynamics, and deliver an improved customer value proposition. The carve-out process began in summer 2019 and we expect it to be completed by mid-2020.
- In an effort to further streamline transactions with LSI, activities with customers of LSI AG and LSI Sales AG having their products shipped to the US, Canada or Puerto Rico, will be transferred to the US based legal entity LSI LLC (see: Customers LSI ships to in the US, Canada or Puerto Rico)

General overview
- As part of an internal reorganization in Switzerland, LSI Activities currently re-siding in LSI AG and LSI Sales AG will be moved to newly formed legal entities as of 1 June 2020 (see Legal Entity Changes)
- This is only an internal reorganization step and the existing legal entities as well as the new legal entities remain part of LSI
- As part of this reorganization, customer and supplier relationships will be moved into these new legal entities
- The new legal entities will continue to conduct LSI’s business in the same manner as before
- However, please be advised that we are implementing the transfer of LSI activities into new legal entities on all of our corporate and commercial LSI documentation,including purchase orders, sales orders, invoices, order confirmations and acknowledgements, terms and conditions as of 1 June 2020
- All references to LSI AG or LSI Sales AG on such documentation, if they relate to business conducted to LSI and not LPBN, will be replaced by the new legal entity names by 1 June 2020 (see Legal Entity Changes)
- All relationships you might have with LPBN will remain with either LSI AG or LSI Sales AG and will not be subject to change
- In order to ensure a smooth transition, we would also ask you to consider any potential changes you need to make to permits, licenses or the timing of orders in light of the above re-organization steps

Customers: How we treat Customer Purchase Orders
- As of 1 June, any open purchase order you have with LSI AG or LSI Sales AG will move to the new legal entity (see Legal Entity Changes)
- This means, you will receive goods and the corresponding invoice from a different entity than the one you originally submitted your purchase orders to
- In order to ensure a smooth transition, we would thus ask the customer to register the new legal entities (see Legal Entity Changes) as a new vendor so that you will be able to receive goods from and execute payments to the new legal entity (see Legal Entity Changes)
- You can then either update the payment information to the new vendor in your existing purchase order or alternatively send a new purchase order to the new legal entity (see Legal Entity Changes) with a request to cancel the previous one. Please clearly flag the old purchase order number in your new order to avoid double ordering.
- On or after 1 June 2020, we cannot accept any new Lonza Specialty Ingredients intended purchase orders at LSI AG and LSI Sales AG – please direct these purchase orders to the new legal entities (see Legal Entity Changes)
- We are working to close as many open purchase orders you might have with the old legal entity as possible before the legal entity change date

Customers: Which products are transferred
- Here you will find an overview of all products that will be transferred into the new legal entities
- As of 1 June 2020 you will receive these goods and the corresponding invoice from the new legal entities

Customers who LSI ships to in the US, Canada or Puerto Rico
- This section is only relevant for LSI AG and LSI Sales AG customers having their products shipped to the US, Canada or Puerto Rico
- Effective June 1, 2020, all LSI activities conducted by LSI AG and LSI Sales AG with you will be transferred to LSI LLC, a US company with whom you may already transact business and have set up as a vendor in your systems. We hope this change minimizes the number of legal entities with whom you conduct business.
- With respect to your orders to be shipped to the US, Canada or Puerto Rico this means:
- Any currently open orders and new orders that are scheduled to ship on or before May 31 shall remain with and will be filled by LSI AG. Invoices should also be paid to LSI AG.
- Any open orders that are scheduled to ship on or after June 1 will be filled by LSI LLC. Invoices will be issued by LSI LLC, and payments should be remitted to LSI LLC. You do not need to reissue the Purchase Order unless you deem it necessary from your company’s perspective.
- Any new orders submitted on or before May 31 that are scheduled to ship on or after June 1 should be submitted to LSI LLC. They will be fulfilled and invoiced by LSI LLC, and payments should be remitted to LSI LLC.
- Any new orders submitted on or after June 1 should be submitted to LSI LLC. They will be fulfilled by LSI LLC, and payments should be remitted to LSI LLC
- In case you do not already have LSI LLC set up as a vendor for your company, you should have received a letter with all relevant information that will allow you to do so. Should you still require information, please reach out to your sales representative:
